The $1.022-billion bid consists of the fair market value of Voyager’s cryptocurrency holdings at a future date to be decided, plus an additional consideration equal to an incremental value of $20 million.
By April 18, 2023, the transaction must be completed. In good faith, Binance has agreed to deposit $10 million and to pay Voyager $15 million in reimbursement for certain costs.
